These Terms of Service ("Terms") govern your access to and use of the Mysios Labs website and services. By accessing or using our services, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
Services Description
Mysios Labs provides embedded technical consulting services, including: - Embedded bootcamp engagements - Legacy system modernization - Data integration solutions - Technical architecture advisory - Capability building and training
Specific service terms are outlined in individual Statement of Work (SOW) agreements.
Engagement Terms
All consulting engagements are governed by a separate Master Services Agreement (MSA) and Statement of Work (SOW) that specify: - Scope of work and deliverables - Timeline and milestones - Pricing and payment terms - Intellectual property rights - Confidentiality obligations
These Terms supplement but do not replace engagement-specific agreements.
Intellectual Property
Our Content The Mysios Labs website, including all content, features, and functionality, is owned by Mysios Labs and protected by intellectual property laws.
Client Work Unless otherwise specified in an engagement agreement, clients retain ownership of code and deliverables produced during engagements. We may retain knowledge and methodologies for use in future engagements.
Feedback Any feedback, suggestions, or ideas you provide regarding our services may be used by us without obligation to you.
Confidentiality
We treat all client information as confidential. We will not disclose client information to third parties without consent, except as required by law.
Detailed confidentiality terms are specified in engagement agreements and Non-Disclosure Agreements (NDAs) where applicable.
Limitation of Liability
To the maximum extent permitted by law, Mysios Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
Our total liability for any claims arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Mysios Labs and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: - Your use of our services - Your violation of these Terms - Your violation of any third-party rights
Termination
We may terminate or suspend your access to our services at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Termination of consulting engagements is governed by the applicable engagement agreement.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, providing additional notice.
Continued use of our services after changes constitutes acceptance of the modified Terms.
